Q: One of my former employees has started a competing business and is calling my clients and trying to steal their business from me Do I have any legal recourse against him?
-- Brad J
A: I hate to break this to you, Brad, but unless this former employee signed a noncompete agreement while on your payroll, there is probably very little you can do to stop him from wooing your customers You should discuss the situation with your attorney, but unless this person is also breaking the law in some other way (using stolen trade secrets, for example) your attorney will probably concur with me
Renegade former employees riding the free enterprise wave is one reason noncompete agreements are gaining in popularity among employers who hope to use them to help protect their business from competitive threats launched by former employees Many employers are now demanding that key employees sign noncompetes as a stipulation of employment While signing noncompetes usually doesn't sit well with employees who view them as potential roadblocks to their upwardly mobile career path, many businesses will not hire a key employee without his or her signature on the dotted line
A noncompete agreement is a formal contract between you and your employees in which they promise not to use information or contacts pertinent to your business in a competing situation Replica Watches. In other words, they agree not to take everything they learn working for you and put it to use for someone else This could mean going to work for a competitor or starting a competing business of their own
While not popular with employees, noncompete agreements are a good way for employers to keep key employees on the payroll and protect the company's proprietary information That said, do not go overboard with noncompetes: not every employee should be required to sign one If an employee does not have access to sensitive information, customer or accounting data, or is integral to the overall success of your business, there is no need to have them sign a noncompete The janitor, for example, poses very little threat to your business if he gets a job with a competitor Your sales manager, on the other hand, can devastate your business by hooking his wagon to a competing horse
Which employees should sign noncompete agreements? While the prerequisites vary from business to business, the following is a good general list The term "employees" represents executive level, management, supervisory, and non-management personnel relative to that example:
- Employees involved in research or product development - Employees involved in the design, fabrication, engineering, and manufacturing process - Employees who service products made and sold by your company - Sales and service employees who have regular contact with customers or sensitive customer information - Employees with access to sensitive business information or trade secrets - Most importantly, employees who have sufficient information about your business that would allow them to start a competing business
Most business experts agree that noncompete agreements are generally a good way to protect your business T8 LED Tube. The downside is that noncompete agreements are often difficult to enforce and in some states, may not be enforceable at all Many state courts have ruled that noncompete agreements are too restrictive on an employee's right to earn a living
In California, for instance, noncompetes are generally only enforceable in connection with the sale of a business and not for employees In Alabama, noncompetes are generally enforceable in only two contexts: the sale of a business and in connection with employment - but even then the enforcement requires that there be a valid interest worthy of protection
Some states require that the noncompete be signed at the beginning of the employment relationship and will only consider the enforcement of a noncompete signed after the initial employment date if the signing of the noncompete was accompanied by a promotion, raise in pay, or other event that elevated the employee to a more important role within the company
To be enforceable, noncompete agreements must be reasonable on three accounts: Time, geography and scope Regarding time, you can't restrict someone from competing with you forever, so one to three years is the accepted time period for most noncompetes
As to geography, you can enforce restriction in the general area where you conduct business, but you can not enforce the restriction beyond those boundaries And for scope, the agreement can restrict certain actions on the part of the employee, but can't be so generally restrictive that the employee won't be able to earn a living working in the same industry in a noncompetitive position
One interesting thing to note: noncompete agreements are not enforceable against certain "professionals," like doctors, CPAs, and lawyers (who do you think writes all those noncompetes)
At this point, Brad, the best thing you can do is contact your attorney to see if you have other grounds for suit, then contact your customers and let them know what's going on
Explain the situation regarding the former employee, but do so calmly and resist the urge to tell them what you really think of this guy Showing your anger to the customer is not going to help you keep their business
Reaffirm your relationship with the client, tell him how much you value his business, remind him of your track record and level of service, then ask one simple question: What can I do to make sure your business stays with me?
Here's to your success!

For many business owners, it can be difficult to understand the differences between various types of legal business organizations. Across all types there are benefits, drawbacks and rules that apply in reference to tax, liability and structure. What's important is to be able to clearly understand what is right for your business.
Below is a brief compilation of the basic forms of business ownership in the United States, emphasizing those that are most attractive to small business owners Remember: specifics of each can vary from state to state, so be sure to check with your state's Secretary of State Office to understand what is best for your business.
Sole Proprietorship: A sole proprietorship is an unincorporated business that is owned by one person. In this way, it is the simplest form of legal organization to start and maintain. You, the owner, include the income and expenses of the business on your own tax return. Similarly, you are also personally responsible for any business liabilities.
Limited Liability Company (LLC): Authorized only in certain states, an LLC is a mixture of a corporation and a partnership. LLCs are becoming a popular structure for small businesses due to their flexibility and low maintenance costs while still offering most of the advantages of a corporation. With an LLC, you separate your business and personal identities, distributing the ownership percentages, P&L and voting powers among owners. LLCs can also offer tax savings, depending on how the LLC chooses to be taxed (either as a partnership, S Corporation or C Corporation).
S Corporation: After the corporation has been formed, the stockholders may elect "S Corporation" status by making a filing with the IRS. Like an LLC, this is another attractive option for many small businesses. An S Corporation is taxed like a partnership 鈥?the profits and losses of S Corporations flow through to the federal tax returns of the owners in proportion to their stock ownership. However, they are protected from the liabilities of the business as in a C Corporation.
Corporation ("C Corporation"): In a C Corporation structure, one or more stockholders are the owners, managed by a board of directors elected by the stockholders, and run by officers appointed by the board of directors. However, a single individual can be the sole stockholder, director and officer of the company. All parties are protected from the company脮s liabilities, including liabilities for their own negligence when acting in their corporate role, except in a few extraordinary circumstances. The corporation files its own tax return and pays taxes, which are graduated based on the company's taxable incomes.
The ins and outs of each type of business organization as well as the state variances can appear to be overwhelming. Most important, educate yourself, talk to a professional, and consider all your options carefully. If you've even done a little studying on how to maximize your revenue with Google Adsense you have already learned that integrating these ads within your site's content is a key to getting solid click through performance Cheap Watches. Make your visitors think the links in the ads are actually part of your site and they are more apt to click
This can be accomplished in a multitude of ways: Randomly inserting the ads within the textual content of your site, using Link Ads in typical menu locations, placing large image ads where a logo may appear and the list goes on and on This is all well and good, however, by customizing the look of your Google Adsense ads you further integrate this powerful revenue tool within your site
Everyday surfers are becoming more and more savvy at avoiding our attempts at getting their clicks and procuring their money They have seen the typical Adsense ad over and over and over and are quite aware that when they click it, they will be leaving the site and will probably be hit up with some type of sales pitch Thus, customizing your ad layout gives you one more weapon to combat their intelligence and get their clicks
The most important customization that should be made is to the background color of the ads By setting the background to the same color as where the ad is placed you are allowing it to blend in and appear even more like the content on your site As visitors are reading your web site they will come across your integrated ad and are more likely to feel that it is a viable part of your site's content and click ghd hair straighteners. Modifying the background color of your Google Adsense ads is one of the easiest ways to garner these clicks More clicks, means more money!!
By taking that one step further you can also customize the border color of the Adsense ads It's as simple as changing the background color and is offered as an option when you set the ad up There are two different ways you may want to approach doing this
One, you may want your ad to stand out and look like a 'menu block' on your website Simply set the border color to that of other 'blocks' on your site and let Google populate your new 'menu' with relevant advertising Two, set the border color the same as your background color In doing so you will cause the ads to not stand out as much and will look more like a part of your site
To go even deeper and make the ads look more like part of your site, change the text and link colors to match that of your page Again, this can be done simply when setting up the ads and will deeper camouflage the fact that the links and text are ads Another tactic is to change these colors to make either the links or the text stand out and appear as if they lead to more important and in-depth information
When employing one or all, or a combination of these simple effects you will be able to take your Google Adsense income to and further enhance your online business
Good Luck

Almost everyone sooner or later dreams of starting a home based business to make some extra money, or to be able to work part time The one thing that stops most folks from acheiving this goal, is money They just don't have the financial stability to either borrow the money needed or are not sure they can pay it back There is one business that anyone can start with no upfront money needed, all that is required is patience and kindness, this is the business of Pet Sitting
In the US over 70% of all homes contain at least one pet, there are over 65 million dogs and 77 million cats, and in 2005 American's spent over $14 billion on their pets All of these pets need care and treatment, and at many times throughout the year each pet has to be left unattended a large amount of the time During these times, a pets owner often needs the services of a ' Pet Sitter '
There are two ways you can operate your own pet sitting business, if you own your own residence, you can watch pets inside your home, having the pet owners drop off their pets at your residence This puts you more at ease, and you have more time to devote directly to your home duties as well as the pet sitting business, since you don't have to spend time traveling to the pet owners residence Just make sure you have proper areas sit up for the pets that will be arriving, they must not interact with your own pets, as this can cause fights, unwanted breeding and the spreading of fleas and diseases Plus pets dropped off at your residence will be scared because they will be in unfamiliar surroundings
You may wish to stay at the owners residence and watch the pets while they are not home, like a babysitter This has benefits and disadvantages as well For one thing you will be traveling and will have to spend a great deal of time away from your own residence and money on gasoline You may also break or damage something in the pet owners home, causing trouble for you Or you may find yourself in a hostile environment, due to fighting between the pet's owners, or other household members Staying in someone elses residence could also get you accused of stealing something, even though you didn't, but a babysitter faces these same obsticles also The benefits of watching the pets in the owners home is you will have a lot less chance of exposing your own pets to diseases and unwanted breeding and fights, and the pets you are sitting will be calm and relaxed since they are being left in their familiar environment
Either method of pet sitting you choose has it's advantages and disadvantage, so you must carefully choose which is better for you Just make sure that whatever type of service you choose, that you think of the job as carefuly as a babysitter would Think of the pet as a small child, because a lot of pet owners love their pets as if they are children Fake Designer Handbags.
Make sure you have some knowledge of the pets you will be sitting, for instance read and learn about them all you can, dogs and cats are pretty easy, birds are harder, but snakes and lizards or turtles may be totaly unique and could even pose a danger to you, if your not familiar with them Pets need sleep and rest time, they need activity or exercise, they need food, water and warmth, some even require medication at certain times of the day, but all pets need patience and love Make sure you have emergency telephone numbers, so you can call the owners veterinarian or pet clinic in case you have too, and you may also need to get in contact with the pets owner, so don't forget the telehone number where they can be reached at Replica Watches.

QUESTION Did Pope Pius II have a sideline in naughty books? POPE PIUS II -- born Aeneas Sylvius Piccolomini, in Corsignano, Republic of Siena, in 1405 -- overcame humble origins by his wit and charm to become influential in court and wholesale sexy lingerie ecclesiastical circles.
He seemed a man most unfitted for the priesthood, taking the mantle of an amorous poet and bon vivant. He is known to have fathered at least two, but probably more, illegitimate children. In 1435, he was sent by Cardinal Albergati, Pope Eugenius IV's legate, on a mission to Scotland. Here, 'a fair Caledonian became his' and bore him a child, who later died.
In 1442, he attracted the attention of Frederick III of Austria, who made him Poet Laureate. Piccolomini was a prolific poet, most of his output being pretty sensuous stuff, 'as one under the vernal impulse of early manhood'.
Later critics described him as a deft imitator rather than a true poet, rehashing the amatory poems of Horace, Ovid and Petrarch.
In 1443, he fathered another child, with an Englishwoman called Elizabeth.
In 1444, he published The Tale Of Two Lovers, the raciest of his works. The novel, set in Siena, follows the love story of Lucretia, a married woman, and Euryalus, one of the men waiting on the Duke of Austria -- and is crammed with erotic imagery, such as: 'She was deep-bosomed and her breasts swelled out on either side like two pomegranates, so that one longed to touch them.' It was a major replica breitling watches success and was translated into many languages.
In 1445, Piccolomini suffered a severe illness which put an end to his dissolute life and erotic output.
He became a true statesman of the Church and was elected Pope in 1458. He died in 1464 and is remembered as one of the reforming pontiffs of the era.

QUESTION It was recently reported that Ferrari will soon end 60 years of unbroken participation in the Formula 1 Championship. Is this correct? FURTHER to the earlier answer, Ferrari did not participate in the U.S. Grand Prix held at Watkins Glen in 1961, the final race of a season in which their cars had been dominant. With both the driver's and manufacturer's titles already sewn up, the team didn't consider it worthwhile shipping the cars to America for one race.

MOSELEY stalwart Adam Caves has warned his team-mates they are playing for the future of the famous old club.
The Billesley Boys kicked off their relegation play off campaign at Bees yesterday in what was the first of six crucial showdowns.
Ian Smith's men face a return match with Bees and home and away clashes with near-neighbours Coventry and strugglers Rotherham, in a four way battle to avoid the drop.
Whichever side finishes bottom of the group will be forced out of the professional ranks and into the community game.
It will also lose pounds 300,000 of guaranteed funding - in Moseley's case more than half its playing budget.
And at a time when they are trying to raise money to begin building their new 5,000 seater stand, Moseley perhaps have more to lose from relegation than anyone else.
It is a threat of which Caves, is all too aware: "I think it's fair to say we are playing for the future," he said.
"We have done well to achieve what we have and you could say we are unlucky to be in the situation we are in.
"But we are in it, we are going to have to deal with it. There are people playing for positions and jobs at the end of the day.
Fortuitous "The club is going to be replica breitling watches here longer than the players are and while we are here we have to make sure we can keep the club at the highest level it can sustain.
"We have a responsibility to do that.
"Credit to the club for achieving what we have and credit to the players and coaches for doing it on what is, comparatively speaking, a shoe-string budget. "But things get reduced if we drop down a league - funding etcetera - and that's a big risk.
"We said just before we went out against Bristol that we had 80 minutes hard work and if it went well we could have six weeks of enjoying ourselves.
"Unfortunately that wasn't to be and we now have six weeks of bloody hard graft to get through."
Not helping is the fact Mose must play three more local derbies.
Before yesterday they had won both their previous clashes with Coventry and Bees - but only by a single score on each occasion.
Indeed they needed a fortuitous penalty try - one of three on the night - to leave Butts Park with the points in October.
sexy lingerie china They were camped on their own line at the end of the reverse fixture on Boxing Day and at the start of the year only managed a one-point win over the Sharmans Cross Road outfit.
And as one of the few Brummies in the Moseley side, the England Counties hooker knows how intense local derbies are.
"The history of the clubs - especially the Coventry-Moseley thing - is huge," he said. "Being around the club as a junior I have watched many games and am proud to be a part of it now.
"The lads understand there are bragging rights to it - hence when we played Coventry away and they came back at us we showed great character to get a win.
"That was a sign that these guys with nothing to do with Moseley were playing for their jobs and the shirt. I felt there was something clicking then and as though it did mean something to everyone. We have to get that back for the rest of the se

Kitty Lindsay's bag of tricks includes writing, acting, stand-up comedy, dance and improv. She's using it all on the New York theater scene, with great success.
On a recent visit to Charleston to see her parents, Richard and Pamela Tabor Lindsay, she paused for a quick photo shoot. It's probably the only time she's sat still in months.
Lindsay, 28, recently finished an off-Broadway production of her original play, "The Pipe Cleaner." She's been onstage with her bawdy "White Cotton Panties" all-female sketch comedy group, and they are in preproduction for their second viral video, which she wrote.
Currently she's the assistant director of a production of "The Vagina Monologues" in New York City and benefiting The Urban Woman's New Beginnings and Safe Haven. She's writing a new play, and is in talks with a New York filmmaker to make "The Pipe Cleaner" into a film.
The performer got her start with the Charleston Ballet and the Charleston Light Opera Guild, following her school days in Massachusetts and England.
links of london charms "I was very fortunate in that I was given the opportunity to attend a performing-arts boarding school called Walnut Hill School in Natick, Massachusetts. If you've ever seen the film 'Fame,' it is very similar," Lindsay said.
"We had academic classes in the morning and in the afternoon and early evening, we had our art classes. I was a replica hublot watches ballet major - before attending Walnut Hill, I received all of my ballet training from Kim Pauley and the Charleston Ballet - but I also kept up with my writing by taking some classes in the creative-writing department."
After graduation in 1999, Lindsay moved to London to pursue dancing further and pick up some formal acting training. She spent two years living abroad and during that time studied at the Royal Academy of Dramatic Art. Upon her return to the States, she moved to New York and studied creative writing at New York University while continuing to pursue acting in theater, television and film.
Lindsay performed in "Footloose" and "Chicago" with the Charleston Light Opera Guild in 2002.
"Both were incredible learning experiences for me. Before that time, I had always kept my dancing and acting separate. There is nothing like combining all the elements of theater," she said.
"Acting, dancing and singing simultaneously, and doing all three things well, is very difficult and requires all of a performer's energy, concentration and will. I had a blast, and my respect for the art of musical theater grew exponentially because of the experience."
Lindsay praised the Charleston Light Opera Guild.
"Everyone is so professional. No one misses a rehearsal, no one throws tantrums, everyone shows up on time and is prepared and ready to work - you would be surprised at how rare this sort of work ethic can be," she said.
"The people of the Guild truly love what they do and it shows in their productions. There's always a sense of teamwork, a sense of 'We're in this together' because the process from start to finish is revered, savored and not taken for granted. In New York City, this sort of devotion can be overwhelmed by this insatiable desire to become a celebrity, to be a star, to be famous," Lindsay said.
A reviewer for Off-Off-Broadway Review described Lindsay as "flawless in her role as the villain" in "The Shape of Things." The reviewer said Lindsa
